Please read these Terms and Conditions carefully before using the Athabasca AI website or engaging our services. By accessing our website or entering into a service agreement with us, you confirm that you have read, understood, and agree to be bound by these terms. If you do not agree, please do not use our website or services.

01 Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

  • "Agreement" means these Terms and Conditions together with any applicable engagement proposal or statement of work.
  • "We / Us / Our" refers to Athabasca AI, a business operating from 520 3rd Avenue SW, Suite 1800, Calgary, AB T2P 0R3, Canada.
  • "You / User" refers to any individual or organization accessing our website or engaging our services.
  • "Services" refers to advisory, training, and change management programs offered by Athabasca AI, including the AI Governance and Ethics Framework, the AI-Enhanced Workflow Pilot Program, and the Enterprise AI Training and Change Management program.
  • "Content" refers to all materials, documents, tools, frameworks, and deliverables produced by Athabasca AI in connection with a service engagement.
  • "Client" refers to any organization or individual who has entered into a service agreement with Athabasca AI.

02 Acceptance of Terms

By accessing this website or using our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Use of the contact form on our website constitutes acceptance of these terms as they relate to website use. Engagement of our services is governed by a separate written proposal or agreement, which incorporates these Terms and Conditions by reference.

03 Service Description

Athabasca AI provides advisory, training, and change management services related to the adoption of artificial intelligence within organizations. Our current programs are:

  • AI Governance and Ethics Framework Development โ€” a 4-week advisory engagement
  • AI-Enhanced Workflow Pilot Program โ€” an 8-week hands-on pilot program
  • Enterprise AI Training and Change Management โ€” a 16-week organization-wide program

Services are currently delivered to Canadian organizations. Geographic availability may be subject to change. Program scope, timelines, and inclusions are specified in each engagement's written proposal.

04 User Responsibilities

When using our website or engaging our services, you agree to:

  • Provide accurate and complete information when submitting inquiries or entering into service agreements
  • Use our website and any deliverables for lawful purposes only
  • Not attempt to gain unauthorized access to our systems or the accounts of others
  • Not reproduce, distribute, or repurpose our proprietary content without written authorization
  • Engage your own legal, regulatory, or technical advisors as appropriate for decisions related to AI adoption

As a client, you also agree to provide timely access to relevant personnel, information, and systems reasonably necessary for us to deliver the agreed engagement.

05 Intellectual Property

All materials, frameworks, methodologies, and content created by Athabasca AI in the course of our business โ€” including but not limited to our website content, training materials, templates, and proprietary tools โ€” remain the intellectual property of Athabasca AI.

Upon full payment of engagement fees, clients receive a non-exclusive, non-transferable licence to use the deliverables produced for their specific engagement for their internal organizational purposes. Deliverables may not be sold, sublicensed, or made publicly available without prior written consent from Athabasca AI.

Any pre-existing materials, documents, or data provided by the client remain the property of the client.

06 Payment Terms

Our services are priced as fixed-fee engagements. Fees are specified in the engagement proposal. Current program fees (in Canadian dollars) are:

  • AI Governance and Ethics Framework: CAD $275
  • AI-Enhanced Workflow Pilot Program: CAD $580
  • Enterprise AI Training and Change Management: CAD $930

Payment schedules and accepted payment methods are outlined in each engagement proposal. All fees are exclusive of applicable taxes. Invoices are due within the timeframe specified in the proposal. Late payments may result in suspension of services.

Refunds are available if written cancellation is received prior to the commencement of the engagement. Once an engagement has begun, fees for completed phases are non-refundable. We will work with clients to reschedule or adjust program delivery where circumstances require, within reasonable limits.

07 Service-Specific Terms

All engagements: Scope of work is defined in the written engagement proposal. Changes to scope are discussed and agreed in writing before additional work begins.

Workflow Pilot Program: The pilot targets one business process, as agreed at the outset. Expansion to additional processes falls outside the standard program scope and is subject to separate agreement.

Enterprise Training Program: The program is designed for organizations with 50 or more employees. Where organizational circumstances change significantly during delivery, we will discuss adjustments to the program structure in good faith.

Post-delivery review sessions: Review sessions included in each program must be scheduled within 60 days of program completion. Sessions not scheduled within this window will not be carried forward.

08 Disclaimers

Our services are provided on an "as is" basis to the best of our professional ability. While we bring care and expertise to every engagement, we do not warrant specific business outcomes, efficiency improvements, or technology performance as a result of our advisory or training work. AI adoption outcomes depend substantially on factors within your organization's control, including implementation decisions made after our engagement concludes.

Our guidance does not constitute legal advice. Clients should consult qualified legal counsel for matters requiring formal legal opinion, including regulatory compliance determinations.

Athabasca AI makes no representations or warranties regarding the suitability of any specific AI tools evaluated or recommended during an engagement, beyond the evaluation criteria agreed with the client.

09 Limitation of Liability

To the fullest extent permitted by applicable Canadian law, Athabasca AI's total liability for any claim arising from or related to our services or website shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

Nothing in these terms excludes liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable law.

10 Indemnification

You agree to indemnify and hold harmless Athabasca AI, its team members, and affiliates from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms and Conditions, your misuse of our services or deliverables, or any negligent or unlawful act on your part in connection with our engagement.

11 Termination

Either party may terminate a service engagement by providing written notice. In the event of termination by the client, fees for completed phases or work already performed are non-refundable.

Athabasca AI reserves the right to terminate an engagement if the client materially breaches these terms or fails to provide reasonable cooperation necessary for delivery, following written notice and a reasonable opportunity to cure.

Provisions of these terms that by their nature should survive termination โ€” including intellectual property, limitation of liability, and indemnification โ€” will remain in effect.

12 Dispute Resolution

These Terms and Conditions are governed by the laws of the Province of Alberta and the applicable federal laws of Canada. The courts of Alberta have jurisdiction over any disputes arising from or related to these terms or our services.

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith discussion. If direct resolution is not achieved within 30 days of written notice of the dispute, either party may pursue available legal remedies.

13 General Provisions

  • Entire agreement: These terms, together with any written engagement proposal, constitute the complete agreement between you and Athabasca AI regarding the subject matter herein.
  • Severability: If any provision of these terms is found unenforceable, the remaining provisions continue in full force and effect.
  • Waiver: Failure by either party to enforce any provision does not constitute a waiver of the right to enforce it in future.
  • Assignment: You may not assign your rights or obligations under these terms without prior written consent from Athabasca AI.
  • Notices: Formal notices under these terms should be sent in writing to the contact details provided in Section 15.

14 Changes to These Terms

We may update these Terms and Conditions from time to time. When material changes are made, we will update the "Last Updated" date at the top of this page. Continued use of our website or services following an update constitutes your acceptance of the revised terms. We encourage you to review this page periodically.
